OpenEdit Inc. Software Consulting Statement and Agreement
OPENEDIT OPEN SOURCE SOFTWARE LICENSE. Licensed under a royalty free, perpetual and transferable GNU LGPL license, OpenEdit software is free of charge, including enterprise releases and all updates.
SERVICES. Customer may purchase OpenEdit Software Consultant Services and other items offered by OpenEdit by entering into an order form that is governed by the terms and conditions of this Agreement. Customer has complete flexibility in choosing Customer's level of responsibility for Customer's OpenEdit solution. Customer may outsource an entire project and its ongoing maintenance to OpenEdit. Or Customer may choose to take most of the responsibility yourself and hire OpenEdit for a limited amount of OpenEdit Software Consultant Services. OpenEdit charges hourly for all OpenEdit Software Consultant Services requests. This may include but is not limited to, business analysis services, programming, development, customizations, testing, technical support, etc. All service/support requests entered into OpenEdit's Project Tracker will be charged to you at a per hourly rate. OpenEdit will work to the budget you set for your project. OpenEdit will do OpenEdit's best to estimate single task projects, however it is only an estimate. Projects which require an estimate by OpenEdit and involves multiple tasks may require OpenEdit's Business Analysis Services to best determine Customer needs. OpenEdit's Business Analysis Services are charged hourly. OpenEdit cannot guarantee that all features will be accomplished within Customer's budget or OpenEdit's estimate. OpenEdit does guarantee that OpenEdit will provide high quality code and service - and the work OpenEdit does will add business value to the Customer's organization. Unless otherwise agreed upon, OpenEdit does not offer fixed bid projects. To ensure a successful implementation, OpenEdit will assign a dedicated, Certified OpenEdit Software Consultant(s) to work with Customer regarding any phase of a project. OpenEdit's Software Consultants will do the highest priority features first and will do OpenEdit's best to work within Customer's budget. All OpenEdit Software Consulting Projects, budgets, hours, tasks, schedules and messages will be tracked using OpenEdit's Online OpenEdit Project Tracker, Customer will be able to log-in to our system 24/7.
PAYMENT. Customer agrees to pay OpenEdit the fees stated on an order form, delivered via any method such as but not limited to, email, fax, mail, etc. Customer will be responsible for any sales, use, excise, withholding, import or export, value added or other tax or duty, and all government permit or license fees, and customs or similar fees, levied upon the delivery or sale of the Services and other items purchased under this Agreement (except taxes on OpenEdit's income). Unless otherwise agreed upon by OpenEdit, OpenEdit offers these two methods of payments: (1) Prepayment of OpenEdit Software Consultant Services or (2) Weekly Invoicing of OpenEdit Software Consultant Services, payment is Due Upon Receipt. OpenEdit defines Due Upon Receipt, as immediate payment. If the Customer does not pay OpenEdit's Due Upon Receipt invoice immediately, OpenEdit will stop work. Where OpenEdit has agreed to payment terms not listed in this document, OpenEdit will stop work if payment is not received in the agreed upon time. In all cases, the Customer assumes all risk for any OpenEdit issues which may occur if payment has not been made.
WARRANTIES. All software and services are best effort with no warranty implied.
TERMS. Terms are subject to change.
DEFINE. You, yourself and customer are defined in this document as a single entity.
PLEASE READ THIS OPENEDIT SOFTWARE CONSULTANT SERVICES AGREEMENT BEFORE PURCHASING OR USING OPENEDIT CONSULTANT SOFTWARE SERVICES. BY PURCHASING OR USING OPENEDIT CONSULTANT SOFTWARE SERVICES, CUSTOMER SIGNIFIES ITS ASSENT TO THIS AGREEMENT. IF YOU ARE ACTING ON BEHALF OF AN ENTITY, THEN YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF THAT ENTITY. IF CUSTOMER DOES NOT ACCEPT THE TERMS OF THIS AGREEMENT, THEN IT MUST NOT PURCHASE OR USE THE SERVICES. BY ACKNOWLEDGING THIS AGREEMENT, WHETHER IT BE BY SIGNATURE, RESPONSE VIA EMAIL, ENTRANCE AND/OR POSTING SERVICE REQUESTS INTO OPENEDIT'S PROJECT TRACKER OR ANY OTHER FORM OF ACKNOWLEDGEMENT, YOU ARE AGREEING TO OPENEDIT'S TERMS OF SERVICE.
We will provide you with a link to our OpenEdit Project Tracker as well as a user name and password. Instructions on how to sign in will also be provided.
